This End User License Agreement ("EULA") is a legal agreement between you and VClar, for the use of the VClar software and services. By using VClar, you agree to be bound by this EULA. This EULA is supplementary to and incorporated into the Terms of Service.
VClar grants you a revocable, non-exclusive, non-transferable, limited license to access and use the VClar software and services solely for your personal or internal business purposes, subject to the terms and conditions of this EULA and the Terms of Service.
This license does not include the right to:
Sublicense, sell, resell, or otherwise commercially exploit the VClar software;
Use the software on behalf of or for the benefit of any third party (except as part of your normal business operations);
Access or use the software in violation of any applicable law or regulation.
Your Content: You retain ownership of your Input (Voice) and the Output (Polished Audio/Text). VClar makes no claim of ownership over your content.
Our Property: VClar retains all rights, title, and interest in and to the VClar software, including but not limited to:
All source code, object code, and software architecture;
All proprietary algorithms and internal methods;
All trademarks, trade secrets, patents, and copyrights;
All documentation, designs, and user interfaces;
Any improvements, modifications, or derivative works thereof.
The VClar name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of VClar.
You may not:
Reverse Engineer: Reverse engineer, decompile, disassemble, or attempt to extract the source code or model weights of VClar or any part thereof;
Modify: Modify, adapt, translate, or create derivative works based on the VClar software;
Copy: Copy, distribute, or reproduce the software except as expressly permitted by this EULA;
Circumvent: Remove, disable, or circumvent any security features, copy protection, or access control mechanisms;
Compete: Use any output, component, or data from VClar to train, develop, or improve competing AI models or services;
Scrape: Use any automated system to retrieve or index any portion of the Service.
VClar may, from time to time, update, modify, or discontinue the VClar software (or any part thereof) at its sole discretion, with or without notice. You agree that VClar has no obligation to provide any updates or to continue making the software available.
This license terminates automatically if you violate the Terms of Service, the Acceptable Use Policy, or any provision of this EULA. Upon termination:
Your right to access and use the VClar software ceases immediately;
You must cease all use of the software and destroy any copies in your possession;
VClar may delete your account and all associated data;
No refund will be provided for any prepaid credits or subscription fees.
VClar may also terminate this license at any time for any reason with 30 days' written notice.
THE VCLAR SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. VCLAR DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VCLAR'S TOTAL LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE LESSER OF (A) THE TOTAL FEES PAID BY YOU IN THE 30 DAYS PRECEDING THE CLAIM, OR (B) USD $20.00.
This EULA shall be governed by and construed in accordance with the laws of India. Any dispute arising under this EULA shall be subject to the exclusive jurisdiction of the courts located in Guwahati, Assam, India, as specified in the Terms of Service.
